Terms of Service for SaaS OS Services

These Terms of Service ("Terms") govern your access to and use of the Navorix SaaS OS services ("SaaS OS", "Service") provided by Navorix Ltd, a company registered in England and Wales ("Navorix", "we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

1. About the Service

Navorix SaaS OS is a design and documentation system intended to help teams design, structure, and reason about user interfaces, contracts, and workflows for software products.

The Service may include:

  • Design system documentation
  • UI contracts and reference materials
  • Examples and patterns
  • AI-assisted prompts or guidance
  • Related tooling or downloadable resources

The Service is provided for general product design and engineering use. It is not intended for mission-critical, regulated, medical, financial, safety-critical, or high-risk applications.

You are solely responsible for how you implement or rely on the Service.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.

If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

3. Access and Licensing

Subject to these Terms, Navorix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use.

Access may be provided under:

  • A free tier; or
  • A paid subscription or license (when applicable)

You may not:

  • Resell, sublicense, distribute, or commercially exploit the Service
  • Copy or redistribute substantial portions of the documentation or materials
  • Reverse engineer, extract, or attempt to derive proprietary materials
  • Use the Service or its materials to develop, train, or commercialise a directly competing design system or documentation product
  • Use automated systems to scrape or extract content
  • Use the Service in violation of applicable law

All rights not expressly granted are reserved by Navorix.

4. Payments, Subscriptions, and Refunds

If you purchase a paid subscription or license:

  • Fees are billed in advance.
  • Subscriptions may renew automatically unless cancelled before the renewal date.
  • You may cancel at any time through your account or payment provider.
  • Cancellation does not entitle you to a refund for the current billing period unless required by law.

Unless otherwise stated, fees are non-refundable.

If you are a consumer purchasing digital content:

  • You acknowledge that access to digital content may begin immediately upon purchase.
  • By accessing or downloading digital content, you may lose your statutory right to cancel once performance has begun.

Nothing in these Terms affects your statutory rights under UK consumer protection law.

5. Intellectual Property

All content, documentation, designs, text, prompts, branding, and materials provided as part of the Service are owned by Navorix or its licensors and are protected by intellectual property laws.

Nothing in these Terms transfers ownership of any intellectual property to you.

You retain ownership of any original work you create using the Service.

6. User Responsibilities

You are responsible for:

  • How you apply or implement guidance from the Service
  • Ensuring outputs generated using the Service are appropriate for your use case
  • Verifying technical, legal, and regulatory compliance where required
  • Maintaining the confidentiality of any account credentials

The Service does not replace professional legal, security, architectural, or compliance advice.

7. No Warranties

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Navorix disclaims all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy or completeness
  • Availability, uptime, or uninterrupted access

We do not guarantee that the Service will meet your requirements or be error-free.

8. Limitation of Liability

To the fullest extent permitted by law, Navorix shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, revenue, or business opportunities
  • Damages arising from your use or inability to use the Service

Our total liability under these Terms shall not exceed the amount paid by you for access to the Service in the preceding 12 months.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

9. Suspension and Termination

We may suspend or terminate your access to the Service if:

  • You breach these Terms
  • Your use creates risk to the Service or other users
  • We are required to do so by law

You may stop using the Service at any time.

Upon termination, your license to access the Service ends immediately.

Sections relating to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.

10. Changes to the Service

We may modify, update, or discontinue parts of the Service at any time.

We are not liable for modifications, suspension, or discontinuation of the Service.

11. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted with a revised "Last updated" date.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

12. Force Majeure

Navorix shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, internet service disruptions, hosting provider failures, governmental actions, or force majeure events.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
